Patrick J. Flanagan is a partner based in New York, focusing on debt finance for private equity and other strategic transactions. He advises sponsors, lenders, institutional corporate clients, and other market participants on domestic and cross-border leveraged finance matters, including acquisition financings, working capital facilities, asset-based facilities, growth capital loans, recapitalizations, and workouts.
Patrick is known for managing complex processes and providing practical guidance within tight timelines. His experience includes large-scale leveraged buyouts, auction-related financing processes, and multi-jurisdiction transactions involving custom intercreditor arrangements and layered debt structures.
Before joining Broadfield, Patrick was a partner in the debt finance practice at Cooley. He previously worked at multiple large NY law firms and spent several years in Hong Kong building leveraged finance expertise for Asia-based transactions.
- Advised on the debt financing for Cornerstone OnDemand’s acquisition of Saba for approximately $1.395 billion in cash and stock
- Led the team advising Coupang on a $1 billion syndicated credit facility in connection with its $4.55 billion initial public offering
- Represented Battery Ventures in numerous acquisition financings and portfolio company refinancings
- Represented multiple middle-market private equity funds in acquisition financings
- Managed numerous auction financing processes for leading investment banks in large private equity transactions
- Represented Morgan Stanley as administrative agent in a $1.1 billion term loan and $175 million asset-based facility to finance KKR’s acquisition of Air Medical Group Holdings
- Represented Bank of America, Citibank, and JPMorgan Chase as lead arrangers on an $800 million investment-grade financing for Kansas City Southern
- Represented Morgan Stanley and RBC Capital Markets as joint lead arrangers on a $1.035 billion credit facility financing the acquisition of Kremers Urban Pharmaceuticals by Lannett Company
- Represented Credit Suisse, Barclays, and Citigroup as arrangers and bookrunners on a $5.88 billion and €3.55 billion senior bridge financing for GTECH’s acquisition of International Game Technology
- Represented Jefferies Finance as lead arranger on a $535 million credit facility financing the acquisition of PHT Corporation by EResearchTechnology
- Represented Bank of China as lead arranger on a $350 million financing for the acquisition of a US microchip company by a Chinese technology company
- Represented Goldman Sachs on a $1.25 billion senior secured refinancing and a $300 million unsecured revolving credit facility for Pacific Drilling
- Represented Barclays Capital on a $100 million plus warrants pre-IPO financing for a live entertainment business
- Represented Wells Fargo as sole lead arranger on the $370 million refinancing of Sirius Computer Solutions
