About
Dylan Rogers advises clients on all aspects of turnaround and insolvency across an array of jurisdictions. He has particular experience working on complex cross-border restructurings involving companies and stakeholders based in Asia, having acted at his prior firm as lead debtor counsel in a number of market-leading cases in the region.
Dylan’s experience spans the turnaround life cycle, including corporate advisory, contingency planning and strategy and implementation. Beyond cross-border restructurings and strategic investments, Dylan has extensive experience advising creditors and insolvency practitioners on a broad range of insolvency-related questions. These include directors’ duties, antecedent transactions, and the division of property in the context of formal insolvency appointments, including digital assets.
Dylan began his career at Ashurst Australia in Sydney and later practiced at Sidley Austin LLP in London. Dylan was part of the team that won “Restructuring Team of the Year” at the 25th Asia Pacific IFLR law awards, “Restructuring and Insolvency Matter of the Year” at Law.com International’s Asia Legal Awards 2024, and an “FT Innovative Lawyers Award 2024 for Restructuring”. He is qualified to practice in New South Wales and England & Wales. He earned his LL.B. and B. Finance from the Australian National University, with First Class Honours in his LL.B. Dylan has also obtained the ARITA Advanced Certificate in Insolvency from ARITA and the University of Technology, Sydney.
Restructuring
- Acted for Sunac China Holdings Ltd in relation to its US$9.6 billion restructuring by way of a Hong Kong scheme of arrangement.
- Acted for Kaisa Group Holdings Ltd in relation to its US$12.3 billion restructuring by way of schemes of arrangement in Hong Kong, Cayman and the BVI across two group entities.
- Acted for Sino-Ocean Group Holding Ltd in relation to its US$6.3 billion restructuring by way of an English restructuring plan and a Hong Kong scheme of arrangement.
- Acted for China Evergrande Group in the negotiation, drafting and execution of binding term sheets and restructuring support agreements to facilitate a restructuring of its approximately US$45 billion in offshore debt, via schemes of arrangement at the parent company and subsidiary level across Hong Kong, the Cayman Islands, and the British Virgin Islands.
- Acted for China Fortune Land Development Co. Ltd. in relation to its US$4.96 billion restructuring by way of an English scheme of arrangement.
- Advised a US fitness equipment manufacturer on the solvent wind-down of its UK subsidiary as part of the implementation of the parent’s US Chapter 11 cases.
Advisory / Insolvency-related litigation
- Acted for the liquidators and scheme administrators of a major Australian insurer in responding to shareholder class actions and scheme litigation claims of over US$500 million, as well as the finalization of the insurer’s liquidation.
- Advised a global investment bank and trading investment company on the impact of counterparty insolvency on proprietary rights to securities and other financial instruments.
- Advised an Australian regulatory body in relation to contingency planning for the insolvency of a general insurer and implementation of a related statutory scheme.
- Acted for a litigation funder in Queensland Supreme Court proceedings concerning an alleged breach of an insolvency practitioner’s duty to realize a commercial aircraft for the best price obtainable.
- Acted for an Australian media company in proceedings concerning the setoff of competing costs orders and vesting of costs orders on bankruptcy.
- Acted for a lender creditor and bankruptcy trustee in multiple proceedings concerning recovery of property of the bankrupt estate, as well as providing strategic advice on international recognition of the Australian bankruptcy.
