Adele Hogan

Adele aims to structure, negotiate, and close complex corporate matters, including mergers and acquisitions, capital markets transactions, fund formation, bankruptcies, and restructurings. She counsels on receiverships and is retained by boards, investors, and executive teams to execute high-value deals across sectors like financial institutions (banks, FinTech, insurance), healthcare (medical devices, biotech, telemedicine, dental, non-clinical services, pharmaceuticals), leisure (gaming, cruise, hotels), real estate, TMT (telecommunications, media, technology), transportation (airlines, automotive, shipping, rail), energy, and retail. She focuses on regulatory navigation and risk mitigation.

Adele, a nationally recognized attorney, has led transactions exceeding $200 billion. Her capital markets, financing and M&A advisory work, includes IPOs, SPACs, PIPEs, and AI governance. Furthermore, she has served as a director of two Nasdaq-listed.

She leads investigations, implements risk frameworks, and handles corporate governance. She has strong technology skills in SQL. Her regulatory work covers the SEC, CFTC, stock exchanges, FINRA, Federal Reserve, OCC, FDIC, Bank Secrecy Act (“BSA”), anti-money laundering (“AML”), Office of Foreign Assets Control (“OFAC”), Foreign Corrupt Practices Act (“FCPA”), AI deals, data security and privacy, and cryptocurrency. She has experience with trading platforms, private equity fund formations, and deal executions. She serves as an expert witness in litigation. Adele has worked on over 30 receiverships, bankruptcies, and restructurings.

Adele has been Chambers-ranked and recognized among New York’s Best Lawyers. She is a frequent speaker and involved in industry groups and bar associations. She joins Broadfield after ten years at Cravath, Swaine & Moore LLP, and being a partner at Linklaters LLP and White & Case LLP and other firms and companies. She is admitted in New York, Texas, and the U.S. Supreme Court.
